These Terms of Service ("Terms") are a legal agreement between you ("you", "your", or the "Business") and 2436719 Ontario Inc., operating as Caseli("Caseli", "we", "us", or "our"), governing your access to and use of the Caseli application and website (the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Caseli is a software provider. The Service is a self-serve software tool that helps appointment-based businesses schedule sessions, communicate with their own clients, and generate documents such as invoices, receipts, and statements. We provide the software, and nothing more.
The Service is not, and Caseli does not act as: a health-care, clinical, or wellness provider; a custodian of personal health information; a bookkeeper, accountant, tax adviser, billing agent, collection agency, insurer, or benefits administrator; or a provider of legal, medical, accounting, tax, financial, or other professional advice. Nothing in the Service, and nothing it produces, is professional advice. No professional, fiduciary, agency, partnership, joint venture, employment, or care relationship is created between Caseli and you, or between Caseli and your clients. We are not a party to the relationship between you and your clients.
You alone decide how to use the Service and are solely responsible for the services you provide to your clients, the information and documents you create, and all of your dealings with your clients, their insurers, benefit programs (such as the Ontario Autism Program), and tax authorities. Any invoice, receipt, statement, or other document you generate is your document, issued by you. We do not review, verify, submit, file, or guarantee it, and we make no representation that it is accurate or complete or that it will be accepted by any client, insurer, program, or authority, or that it satisfies any legal, tax, or professional requirement. The Service is not a clinical, medical, legal, accounting, or regulatory record-keeping system.
The Service is offered and made available only to businesses located and operating in the Province of Ontario, Canada, that serve their clients in Ontario. By using the Service, you represent and warrant that you and your practice are based in Ontario and that your use of the Service relates to services you provide in Ontario. We make no representation that the Service is appropriate or available for use outside Ontario, and we do not offer or market the Service in any other province, territory, or country. If you do not meet this requirement, you may not use the Service.
You are solely responsible for your own conduct and for the information you enter into the Service, including information about your clients. In particular, you acknowledge and agree that:

The Service can send email (such as schedules, invoices, receipts, and reminders) to your clients on your behalf, shown as coming from your business. You are responsible for the content of those communications, for having a lawful basis to send them, and for honouring any request by a recipient to stop receiving them.
As between you and us, you own the data you enter into the Service. You grant us a limited licence to host, process, and transmit that data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for maintaining your own copies of important records (for example, downloading invoices and receipts). While we take reasonable measures to protect and back up data, you should not rely on the Service as your sole record store.
The Service, including its software, design, and content (excluding your data), is owned by 2436719 Ontario Inc.and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
The Service relies on third-party providers (such as hosting, database, email, and payment providers) and may link to third-party services. We are not responsible for third-party services, and your use of them may be subject to their own terms.
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your requirements or produce any particular result (for example, reduced cancellations or guaranteed payment). We may modify, suspend, or discontinue features at any time.
To the maximum extent permitted by law, 2436719 Ontario Inc. and its directors, officers, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the fees you paid to us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) CAD $100. Some jurisdictions do not allow certain limitations, in which case those limitations apply only to the extent permitted.
You agree to indemnify and hold harmless 2436719 Ontario Inc. and its directors, officers, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) the information you enter, including your clients' information; (c) your violation of these Terms or any law; or (d) your breach of your professional, privacy, or regulatory obligations.
These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Service, generally with reasonable notice where practicable. On termination, your right to use the Service ends; sections that by their nature should survive (including data ownership, disclaimers, limitation of liability, and indemnification) will survive.
We may update these Terms from time to time. We will post the updated version here and change the effective date. Material changes will be brought to account holders' attention where practicable. Continued use of the Service after changes take effect means you accept the revised Terms.
These Terms are governed by the laws of the Province of Ontario, Canada and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Ontario for any dispute, subject to any non-waivable rights you have under applicable consumer law.
